Forming a healthy nonprofit organization in New Hampshire consists of a few steps.  These include filing articles of incorporation, adopting bylaws, registering with the NH Attorney General, and seeking tax exempt status from the Internal Revenue Service.  Our office can help you with these tasks to get your nonprofit started.

Filing articles of incorporation
Your nonprofit organization first takes legal shape when you file articles of incorporation that comply with NH Chapter 292.  See this statute at http://gencourt.state.nh.us/rsa/html/NHTOC/NHTOC-XXVII-292.htm. Nonprofits need at least five or more people, who are not related by blood or marriage, to file articles of incorporation.  These five people submit articles of incorporation to the NH Secretary of State and a copy to the local city or town clerk.

Bylaws
At the first meeting of the board of directors, bylaws should be adopted.  Bylaws are the governing rules of your organization.  They describe who runs the organization, how meetings are called, who the members are, and more.  Well written bylaws can ensure that board members meet their legal duties of care, loyalty, and obedience to the nonprofit.

NH Attorney General Registration
Nonprofits  register with the Division of Charitable Trusts, of the New Hampshire Department of Justice by using Form NHCT-1.  It is accessible at http://doj.nh.gov/publications/documents/nhct1.pdf.

Tax exemption recognition
Nonprofits will want tax exempt recognition from the IRS under 501(c)(3) of the tax code.  If the IRS recognizes a nonprofit as exempt from paying federal income tax, then the organization is exempt from paying the NH Business Profits Tax as well.   Also of importance, nonprofits may receive tax deductible contributions.  Most nonprofits need to file Form 1023 to receive this recognition.  That form is available at http://www.irs.gov/pub/irs-pdf/f1023.pdf.
